Nvidia puts 3.5 billion dollars into MediaTek convertible bonds as the two widen their chip work

Nvidia has bought 3.5 billion dollars of convertible bonds issued by MediaTek and opened its rack scale interconnect platform to the Taiwanese chip designer's customers. The money turns a long running supplier relationship into a financial position, and the technical part of the deal is aimed squarely at buyers who want their own accelerator inside someone else's data centre architecture.

Both companies published the announcement on 31 August. It runs across three areas: data centre infrastructure, local computing in personal machines and workstations, and automotive. The financial term sits in a single line of the release, and it is the line worth reading twice. Nvidia has invested 3.5 billion dollars in convertible bonds issued by MediaTek.

What is actually being sold

The infrastructure element is the substance. MediaTek will adopt NVLink Fusion, which Nvidia describes as a prebuilt and prequalified foundation for building a custom accelerator that will connect into its own rack scale systems. The components named are a chiplet that attaches a custom accelerator to the NVLink fabric over photonic or electrical links, a chip to chip interconnect between accelerators and processors, and a customised high bandwidth memory arrangement.

The argument made for it is an engineering one about where the difficulty sits. Designing a custom accelerator is the visible part of the job. Turning it into a shipping rack means multi die packaging, high speed serialisers, memory, input and output, scale up networking, qualification and a supply chain, and every one of those has to work before the first unit is installed. The offer is that a buyer designs the part that differentiates its product and takes the rest off the shelf.

A custom accelerator that only works inside one company's fabric is not an alternative to that company. It is a way of staying inside it while appearing to leave.

Why a convertible rather than equity

A convertible bond is debt that can turn into shares. For the issuer it raises money without diluting holders on day one and usually at a lower coupon than straight debt, because the buyer is paying for the option. For the buyer it is a fixed income position with a claim ahead of shareholders and the right to convert if the equity performs. At 3.5 billion dollars it is a large position by any measure and it aligns one designer of custom silicon with the company whose interconnect that silicon is being built to plug into.

The other two limbs are extensions of existing work rather than new ground. The two companies built the Grace Blackwell superchip that powers Nvidia's desktop development system, pairing a graphics processor and a central processor over the chip to chip link, and have carried that into chips for consumer machines and workstations. In vehicles, MediaTek's automotive platforms already carry Nvidia graphics and can sit alongside its driving computer.

For anyone specifying computing capacity rather than buying shares, the practical reading is narrower than the announcement. The number of routes to a rack of accelerators has not increased. What has changed is how much of that rack a customer can now design itself without leaving the fabric it started in.
